Have an EIN? You Owe the IRS a Heads-Up Within 60 Days of Changing Your Address or 'Responsible Party'

Here's an obligation most business owners have never heard of until it bites: if your entity has an Employer Identification Number and the mailing address or the "responsible party" changes, IRS regulations give you 60 days to report it — on Form 8822-B, Change of Address or Responsible Party – Business.
Why the IRS cares — and why you should
This is a security issue more than a paperwork one. When someone files a suspicious return under your EIN, the IRS reaches out to the responsible party on file. If that's a co-founder who left in 2021 or an address you vacated two moves ago, the fraud inquiry stalls — and you find out about the problem months later than you should have. Stale responsible-party records are widespread, and the entity is the one that pays for it.
There's a second, quieter cost: IRS notices go to the address of record. A notice you never receive doesn't pause the clock on anything.
Who counts as the responsible party
Generally, it's the natural person who ultimately owns or controls the entity — the one with enough control over its funds and assets to direct them. Some specifics:
- Tax-exempt organizations: generally the principal officer as defined in the Form 990 instructions.
- Trusts: a grantor, owner, or trustor.
- Decedent estates: the executor, administrator, or other fiduciary.
- Publicly traded and government entities: see the Form SS-4 instructions.
The responsible party must be an individual, not another entity — an update many older EINs still need, since entity names were allowed on applications years ago.
The fix takes ten minutes
Form 8822-B is a one-page filing. When ownership changes hands, a key officer departs, or the business moves, add it to the closing checklist the same way you'd update the bank. It's the cheapest insurance in the compliance stack.
